Andrew Fruit is a partner in the Corporate Practice Group in the Tampa office of Shutts & Bowen LLP and has substantial experience in representing business entities regarding general corporate matters. Mr. Fruit has experience in business sales and acquisitions, representing both private and public companies throughout the State of Florida. He works on numerous mergers and acquisitions matters and focuses on corporate law, contracts, securities and corporate finance. He has experience in general corporate reorganization and corporate structure issues, as well as corporate work in the healthcare industry.
Key areas of corporate practice include:
- Representing buyers and sellers of businesses in connection with mergers, stock and asset acquisitions, divestitures and spin-offs.
- Drafting and negotiating a wide variety of contracts, including commercial agreements, sales agreements, license agreements, confidentiality and non-disclosure agreements, employment agreements and non-competition agreements.
- Advising clients on matters ranging from strategic planning to the formation of new businesses (structure, governance and related issues), including entrepreneurs, start up companies and more established companies.
- Representing investors and businesses in financing transactions.
In the community, Mr. Fruit is an active volunteer for Berkeley Preparatory School and a local competitive youth basketball program. Mr. Fruit is a graduate of the Leadership Tampa Bay Class of 2006 and was a member of the Board of Trustees of The Spring of Tampa Bay from 2000 to 2004.
