Biography

Jonathan Cohen is a Partner in Shutts & Bowen’s Litigation Department.  While he concentrates his practice in the areas of Securities Litigation and Intellectual Property, he has also provided advise and represented corporations and municipalities in antitrust litigation.  He also represents health care providers in business disputes and in the defense of qui tam litigation.

Securities Litigation

For more than 25 years, Mr. Cohen has represented both private investors and financial institutions in the area of securities fraud litigation.  He has represented New York Stock Exchange public companies and groups of individuals in securities fraud class actions and other securities fraud litigation. In addition to defending a national telecommunications company in a lengthy securities fraud trial, Mr. Cohen has represented major securities firms, other financial services institutions and brokers in NASD/FINRA arbitration proceedings.  Mr. Cohen also defended international financial institutions in securities fraud claims brought by investors and has represented clients in SEC and FINRA enforcement actions.

Mr. Cohen has also represented investors in SEC receiverships, recovering millions on their behalf, and in particular represented a foreign military pension fund in litigation arising from a fraudulent pension fund Ponzi scheme. In both instances, Mr. Cohen served on the receivership Steering Committees.  He currently serves as counsel for the court-appointed receiver in an SEC enforcement action in Central Florida.

Mr. Cohen represents public companies in connection with internal corporate investigations, primarily involving securities law and health care issues, examining a variety of allegations, including corporate mismanagement, self-dealing, inaccurate financial reporting, health care compliance and criminal law violations. 

Mr. Cohen provides expert witness testimony on securities fraud matters.

Intellectual Property

As the Chairman of the Intellectual Property Practice Group, Mr. Cohen handles patent, copyright and trademark litigation and provides advice to clients on intellectual property issues, including preparing trademark registrations and representing clients in proceedings before the Patent and Trademark Office.

He has tried a trademark infringement and unfair competition case that resulted in a jury award of $50 million dollars. He has also litigated cases involving related issues of seizure of counterfeit goods, unfair competition, misappropriation of trade secrets and non-competition agreements, as well as copyright litigation involving computer software and licensing agreements.
