Biography

Having worked on some of Florida's most prominent real estate projects, Mr. Hennen focuses on accuracy, efficiency and creative solutions in addressing the numerous issues that arise during the acquisition, divesture, development, financing and leasing of commercial real estate in order to help achieve his clients' goals and avoid costly delays.  He serves developers, lenders, landlords, tenants and professionals with detailed work in commercial real estate transactions. Based in the Orlando office, he is a partner in the Real Estate Department.

Experience

Mr. Hennen works with developers, lenders, institutions and individuals in commercial real estate transactions. This includes matters associated with the acquisition, financing, entitlement, development, leasing and disposition of commercial, residential and industrial property and negotiating and closing transactions.  He also has experience in condominium development and conversions including "dockominiums," long-term ground leasing, land use, zoning and concurrency requirements needed for development and the Interstate Land Sales Act disclosure and exemption requirements.

Mr. Hennen regularly represents institutional lenders and borrowers in the preparation and negotiation of credit and security documents for secured transactions.  He has experience in construction and term loans, revolving credit facilities, mezzanine financing, future advances, renewals and consolidation loans, together with the accompanying Florida documentary stamp and intangible tax issues and exemptions related to such transactions.  Mr. Hennen frequently assists lenders in connection with multi-state loan facilities and the issuance of opinion letters for transactions with a Florida real estate component.  Mr. Hennen's practice also includes representation of title companies, lenders and individuals in connection with litigation involving complex title and mortgage fraud matters.

Mr. Hennen's clients include the largest dermatology group in the country, a regional homebuilder, and a regional law firm.  He also represents many health care professionals and small business owners in connection with their commercial real estate needs.  Mr. Hennen has worked intimately with national and regional developers, home builders, lending institutions and commercial franchises.  Illustrative transactions include Mr. Hennen's representation of:

  • developer in connection with $394,000,000 acquisition and development loan for high-end resort hotel near Walt Disney World;
  • institutional lender in connection with $36,000,000 credit facility secured by real property located in 13 different states;
  • developer in connection with purchase of $25,000,000 mixed-use commercial development tract located within development of regional impact;
  • owner of automobile dealership in connection with acquisition, divesture and financing of numerous automobile dealership sites;
  • owner of automobile dealership in connection with $24,000,000 land swap agreement with turn key construction component;
  • developer in connection with acquisition and financing of $15,000,000 engineered PUD and golf course located in Southwest Florida;
  • developer in connection with acquisition and financing of nearly 2,000 acres of raw land in Northern Florida;
  • regional law firm in connection with acquisition of property located within a professional office association and subsequent financing, development and construction of a commercial building thereon;
  • largest dermatology practice group in the United States with numerous acquisitions and financing of practice locations throughout the United States through a variety of acquisition vehicles, including acquisition of raw land for future development, existing commercial office buildings and commercial condominium units;
  • national landlord in connection with commercial leases located throughout the United States;
    land owner in defense of quiet title action involving potential complete failure of title as a result of deed being recorded by third party immediately prior to closing within the title gap period;
  • institutional lender in connection with loan facility secured by "dockominium."

Background

Mr. Hennen graduated, with honors, from the University of Florida and received his law degree magna cum laude from the University of Pittsburgh, where he was a member of the University of Pittsburgh Law Review. He is a member of prestigious Order of the Coif. Mr. Hennen is admitted to practice in Florida, North Carolina and Pennsylvania.  He is also a member of the U.S. Court of Appeals for the Third Circuit, the U.S. District Court for the Western District of Pennsylvania, the Supreme Court of Florida, the Supreme Court of North Carolina and the Supreme Court of Pennsylvania.
