The firm’s Commercial Finance Group has broad experience representing lenders and borrowers in a range of traditional as well as innovative financing activities, such as secured financings, corporate lending, cross-border financings, securitizations, structured finance and asset-based transactions, real estate finance and private placements. Our goal is to provide clients with sophisticated experience in the finance, corporate and securities fields in a cost and time-efficient manner.
Asset-based lending is an important segment of our practice, and we regularly represent lenders, borrowers, guarantors, pledgors, lessors and lessees in inventory, receivables and equipment financing transactions, with a strong emphasis on cross-border transactions.
Members are active leaders in professional and civic organizations. We have extensive experience representing public and private companies, general and limited partnerships, banks, broker-dealers, and other forms of business entities in a broad range of finance and lending transactions. Our services include:
- Representing lenders and agents in acquisition financings, asset-based lending transactions, letter of credit transactions, and other forms of secured lending.
- Representing lenders in cross-border loan transactions, including the extension of credit facilities guaranteed or insured by the Export-Import Bank of the United States.
- Representing agent banks in syndicated financing transactions.
- Preparing registration statements, prospectuses, private placement memoranda, blue sky memoranda, etc.
- Preparing and negotiating underwriting agreements (domestic and international), selling shareholder agreements, etc.
- Preparing venture capital documentation (including debt and equity purchase agreements, convertible debt and equity instruments and equity rights agreements).
