David E. Rodrigues Gonçalves

David E. Rodrigues Gonçalves is a partner in the Miami office of Shutts & Bowen LLP, where he is a member of the Corporate Practice Group.

David’s experience encompasses corporate finance, mergers and acquisitions, and business transactional law. He focuses on complex, international transactions across diverse industries.

A seasoned mergers and acquisitions lawyer, David advises both buyers and sellers in complex domestic and international deals. His practice covers private capital markets, including preparing private placement memoranda and subscription documents, as well as structuring, drafting, and negotiating private equity investments for issuers and investors.

David also structures, negotiates, and drafts fundamental governance documents such as operating agreements, partnership agreements, and joint venture agreements, and advises clients on perfection and priority issues under U.S. and foreign jurisdictions. He also leads corporate structuring and restructuring projects and negotiates key day-to-day operational agreements, including distribution and licensing agreements, as well as manufacturing and supply contracts.

Leveraging his international experience, education, and global network, David serves clients from various countries, leading or participating in cross-border projects in collaboration with counsel across jurisdictions. His international network of business leaders, financial professionals, and legal professionals, is another value he provides for clients and professionals. Fluent in Spanish and Portuguese, he delivers these services with cultural nuance, ensuring effective communication and outcomes in multilingual environments.

In addition, David has served as an adjunct professor at the University of Miami School of Law since 2020, teaching Transactional Skills and mentoring attorneys in contract negotiation and drafting.
